About the Presenters

Clark Libenson is a corporate partner in the San Diego office of Allen Matkins. For over three decades, Clark has helped companies navigate and successfully complete a broad range of business transactions both in the United States and abroad. Clark's practice focuses on corporate finance and business transactions, including corporate reorganizations, mergers and acquisitions, public offerings and private placements of equity and debt, real estate securities, employee equity and compensation arrangements, and corporate governance and board advisory matters. From an international perspective, Clark handles all manner of in-bound investment from the Asia-Pacific region and out-bound investment to Mexico and Latin America. He has a particular emphasis on cross-border mergers and acquisitions, joint ventures, manufacturing, and multi-jurisdictional distribution arrangements. Clark represents manufacturers, mining ventures, medical device and other technology companies, issuers of real estate securities, and real estate enterprises, among others.

Darren Reinig is a founding partner at Delphi Private Advisors. Prior to launching Delphi Private Advisors, Darren worked for a global institutional investment management firm providing services to family offices, high net worth individuals and institutions. Experiencing first-hand that these clients often had independent advisors with them at the table was an inspiration for starting the firm. Breaking away from the corporate world to found Delphi, Darren excels at keeping people focused in a highly charged industry, helping them manage their emotions and appropriately balance risk and reward. Leveraging his business background, Darren’s focus is on working with very successful entrepreneurs who are looking for a like-minded team to help them achieve their financial objectives. A transparent and honest communicator, Darren loves working with business owners on exit strategies and with concentrated shareholders of public companies. Darren serves as the firm’s Chief Investment Officer and leads the Investment Committee.

Marshall Varano, CPA, is a tax partner at CohnReznick.  Marshall joined the Firm as a result of the merger with a local San Diego accounting firm where he was tax partner.  Prior to this, he was a tax manager with a national firm. Marshall has over 34 years of experience in public accounting with an expertise in business tax consulting and real estate transactions.  His practice consists of life science/technology companies, renewable energy, manufacturing & distribution clients, real estate developers, and foreign corporations in addition to high net worth individuals.  He is technically adept in tax planning, and has provided internal and external seminars on the research & development credit. Marshall's practice also includes physician/medical practices and not-for-profit entities.  Marshall also leads the Firm’s San Diego Hospitality Practice and has lectured to industry groups on issues impacting restaurants and hotels. He was a Panel participant at the 2014 BISNOW Hospitality Real Estate Summit, a featured speaker at the 2015 California Diversity Council Multicultural Roundtable, the 2015 AACSSD Annual Hotel Business Summit and the 2016 CRA minimum wage and 2018 legislative update panel event. A member of the American Institute of Certified Public Accountants and the California Society of Certified Public Accountants, Marshall is also actively involved in firm sponsored education and client seminars.  He has lectured on topics such as controlled foreign corporations, corporate reorganizations, incentive stock options plans, research and development credits, and 1031 like-kind exchanges.   He is a member of the Board of Trustees and is Treasurer for the Crohn’s & Colitis Foundation of America, Greater San Diego and Desert Area Chapter, and a volunteer coach for the Standley Middle School after school running program.  He is also a Board member of the Scripps Health Gift Planning Advisory Board and the YMCA Estate Planning Council.
