In January 2010, CONNECT announced the signing of NBA Hall of Famer, Bill Walton, as the Executive Chairman of the San Diego Sports Innovators – a group within CONNECT designed specifically to accelerate the growth of early-stage sports-related companies.

Bill Walton will provide an overview of innovation in America and discuss policy issues that face the action and sports industry. Mr. Walton will explore the convergence of the action and sports industry with the health sector and explain how legislation and regulations impact innovations across all sectors.

Program Overview:
For entrepreneurs, deciding to form a company, or become involved with a start-up, presents enormous challenges. Navigating around legal, fund raising and other issues can often seem overwhelming, and the traps for the unwary or uninformed are numerous. However, successfully avoiding the most common pitfalls made by entrepreneurs can make a significant difference as to whether or not a company is fundable, the sources and types of capital that will be attracted, who controls the company, the economic impact on founders upon exit, and a company’s likelihood of success. In this interactive half day workshop, Roger Rappoport and a panel of entrepreneurs will discuss these and other issues in three interactive sessions.

What you will learn:
•Start-up Issues Generally—including, choices in entity selection; an appropriate capitalization table, including how much stock to set aside for employees, consultants, board and advisory board members and the perils of Section 409A; Founders’ issues, including amount and allocation of founders’ stock, vesting, assignment of intellectual property, employment/consulting agreements and more;
•Developing and Executing the Right Funding Strategy—including a discussion related to seed, angel and venture capital funding, the impact of the Dodd-Frank Wall Street Reform and Consumer Protection Act, appropriate funding instruments for each round, including the pros and cons of selling equity, convertible debt, and venture debt; selecting, and gaining access to, the right funding partner; and valuation, and things to do to increase the pre-money value of the company.
•The Anatomy of a Term Sheet— a brief discussion on the anatomy of the term sheet, including, understanding the structure of, and the provisions that will most likely be included in, a venture financing term sheet; how to arrive at a realistic pre-money valuation; the economic impact of certain terms on existing shareholders; the provisions that affect the degree to which current founders and management will have to relinquish control of major and/or day-to-day decision making; and the most recent trends relating to liquidation preferences, participation rights, anti-dilution provisions, pay-to-play provisions, redemption rights, registration rights, rights of first refusal and co-sale rights, and more.

About the Presenter:
Roger Rappoport is a partner with the law firm of Procopio, Cory, Hargreaves and Savitch in San Diego, and leader of the Emerging Growth & Technology practice group within the firm. Mr. Rappoport has extensive experience counseling start-up and emerging growth companies in the information technology, telecommunications, life sciences and cleantech industries. He also represents high net worth individuals, angel and venture capital investors who focus on investing in companies in these industries. Program Overview:
As we enter into the second decade of the 21st century, it is widely appreciated that major chronic diseases still need to be conquered. In parallel with the focus on chronic disease, including allergies, emerging and reemerging diseases have demanded a renewed interest in the last few years on a global basis. The realization that these diseases will be a constant challenge for society has catalyzed means to manage both direct and indirect impact, and the development of methods for fast detection, risk assessment and intervention. Government and philanthropic funding advance the battle and create a fertile ground for integration and collaboration.

Dr. Alessandro Sette, Director of the Center for Infectious Disease and Head of the Division of Vaccine Discovery at the La Jolla Institute for Allergy & Immunology will discuss the trends in immune system research to combat infectious and chronic disease and how technologies developed are often useful not only in the specific disease, but are also more broadly applicable. He will talk about the new direction of allergy research, which has produced novel results from recent studies of timothy grass, one of the common summer seasonal allergy and asthma triggers, and the identification of new potential therapeutic allergen proteins.

In addition, the use of bioinformatics, the worldwide integration of massive amounts of biological data, is one of the most noticeable trends in the first decade of the new century. Under the leadership of Dr. Sette, San Diego was chosen as the site home to the Immune Epitope Data Base (IEDB) project, an NIH sponsored database and analysis resource, freely accessible to the public, which catalogs all defined molecular structures recognized in the context of immune responses.

In this lecture, Dr. Sette will briefly discuss how the creation of the database was pivotal to prediction of characteristics of human populace immune responses to swine-origin H1N1 influenza.

About the Speaker:
Alessandro Sette, Ph.D., joined the La Jolla Institute for Allergy & Immunology in 2002 as the Head of the Initiative for Emerging Diseases and Biodefense. Currently Director of the Center for Infectious Disease and Head of the Division of Vaccine Discovery, Dr. Sette is one of the most cited immunologists in the world. At the La Jolla Institute, Dr. Sette’s research focuses on ways to fight diseases such as SARS, arena viruses, smallpox, dengue, and flu viruses by understanding the immune response, measuring immune activity, and developing disease intervention strategies.

Dr. Sette is an Adjunct Professor in the Department of Medicine at UC San Diego and Adjunct Professor in the Department of Experimental Medicine at The Scripps Research Institute. Dr. Sette received his doctorate in biological sciences from the University of Roma, Laboratory of Pathology in 1984 where he continued as a post-doctoral fellow until 1986. Dr. Sette is a member of numerous grant review panels and a reviewer for many scientific publications.

Many companies, even those that are considered IP-savvy, have hidden problems with ownership of their valuable IP rights. Finding and addressing these problems is not difficult, but not finding them until a conflict develops can be devastating. This program will explore IP ownership planning, securing unperfected or problematic rights, and problem identification and resolution. Topics addressed will be assignments, employment agreements, due diligence reviews, joint development agreements, joint ventures and litigation avoidance strategies.

About the Presenters:
Tom Franklin is a partner in the San Diego office of Townsend and Townsend and Crew LLP. His practice generally focuses on patent prosecution, trademark prosecution, licensing and intellectual capital management. He specializes in IP audits in the due diligence and strategic planning processes. Through an IP Asset Management plan, he tailors strategy to business goals, competitive pressures and funding constraints to leverage intangible assets with intellectual property.

David Hall is special counsel in the San Diego office of Townsend and Townsend and Crew LLP. His practice emphasizes the preparation and prosecution of patent applications on a wide variety of information technology subject matter, including Internet applications, e-commerce business methods, telecommunication systems, and computer hardware and software, including computer network traffic management, graphical user interfaces, Website programming, and bioinformatics database systems.

Ken Jenkins is a partner in the San Diego office of Townsend and Townsend and Crew LLP. His practice focuses on protecting innovation through patent counseling and patent litigation, primarily in the chemical and biosciences industries. Dr. Jenkins routinely counsels biotechnology and pharmaceutical companies of all sizes in developing their patent claiming and filing strategies, procuring patents on cornerstone technologies, and strategically managing patent portfolios to maximize investments. Dr. Jenkins also counsels lenders and investors in assessing the value of patent assets through due diligence reviews, including validity analyses, freedom to operate analyses, and in-licensed technology investigations. In addition to patent counseling, Dr. Jenkins represents pharmaceutical companies in high-stakes patent litigations involving challenges under the Hatch-Waxman Act.

Shelly McGuire is a tax partner and leads the tax practice of BDO’s San Diego office. Shelly’s extensive experience includes: Advising on tax structuring for acquisitions, joint venture planning and restructuring for privately-held and public companies. Shelly was recently recognized by the American Institute of Certified Public Accountants as a Woman to Watch. Ryan Anderson, Manager, R&D Tax Services
Ryan Anderson is based in BDO’s San Diego office and is responsible for the project management and execution of field operations for tax credit studies. Ryan brings over 12 years of experience in engineering, manufacturing, and project management and more than 4 years focused exclusively on R&D Tax Services. He has worked in several sectors that include aviation, military telecommunications, gaming, and energy – with applied engineering experience that includes the design of radio and control systems; manufacturing and process engineering; regulatory and compliance projects; and software design projects for engineering and multimedia applications. Ryan has experience helping companies identify, quantify, document and defend R&D tax credits, and has worked with companies ranging from those in early development stages, to publicly traded companies with market capitalizations exceeding $1 billion. Ryan is a member of the Institute of Electrical Engineers. Ryan holds a Bachelor of Science (magna cum laude) in Electronics Engineering and a Master of Business Administration from Cambridge University in England.

Innovation is an essential component for an American economic recovery and future competitiveness. A vibrant innovation economy promotes economic growth, fosters new technologies, creates jobs and keeps the U.S. leading the global marketplace. The government has an important role to play in fostering innovations that will lay the foundation for the future success. The Obama Administration has committed to renewing the country’s focus on innovation as a means of fostering economic growth and creating high-wage jobs throughout the nation.

In September 2009, the Obama Administration published an Innovation Plan outlining the goals and the steps it plans to take to promote the innovation economy of the future. The plan emphasized three central commitments:
1) Catalyzing breakthroughs for national priorities;
2) Promoting competitive markets that spur productive entrepreneurship and;
3) Investing in the building blocks of American innovation.

San Diego is poised to play a significant role in recommending responsible innovation policy that can shape policy decision-making in Washington D.C. In order to enhance San Diego’s voice at the federal level, and acquire a critical understanding of the Administration’s innovation priorities, CONNECT is pleased to host this timely policy forum focused on President Obama’s Innovation Plan with distinguished speaker:

Peter Cowhey, Dean of International Relations and Pacific Studies, UC San Diego: Mr. Cowhey recently returned to San Diego after a 12-month special assignment as the Senior Counselor to Ambassador Kirk in the Office of the United States Trade Representative (USTR) under President Barack Obama. Mr. Cowhey will discuss the Administration’s national innovation agenda, its strengths and weaknesses, and what this means for San Diego start-ups and entrepreneurs.

Most importantly, Mr. Cowhey will discuss how San Diego can play a role in recommending responsible innovation policy at the federal level.

After his presentation Mr. Cowhey will join a panel of local and national experts to further delve into the key issues surrounding the Administration’s innovation priorities.

Peter Cowhey, Dean of International Relations and Pacific Studies, UC San Diego:
Peter Cowhey is the UC San Diego Dean and Qualcomm Professor of Communications and Technology Policy at the School of International Relations and Pacific Studies. In 2009 he was on leave from the University to join the Office of the U.S. Trade Representative as Senior Counselor for policy planning. His responsibilities included working with Ambassador Kirk on the strategic agenda for trade policy while supervising the work of USTR offices for the Americas, Europe and the Middle East, Market Access and Competitiveness, Intellectual Property, and Services and Investment. Mr. Cowhey is the former Director of the University of California system's Institute on Global Conflict and Cooperation and head of policy studies for the California Institute on Telecommunications and Information Technology. Mr. Cowhey's research has especially focused on the political economy of international trade, investment and regulatory policies. He served as the Senior Counselor to the Chairman and Chief of the International Bureau of the Federal Communications Commission from 1994 to 1997.
