About the Presenters

Clark Libenson is a corporate partner in the San Diego office of Allen Matkins where his practice focuses on corporate finance and business transactions, including public offerings and private placements of equity and debt, real estate securities, corporate reorganizations, mergers and acquisitions, employee equity and compensation arrangements, corporate governance, and board advisory matters. He also provides counsel to clients on financial services and general commercial matters, including commercial lending and secured real property transactions. Clark represents real estate enterprises, financial institutions, manufacturers, mining ventures and technology companies, among others. 

Ryan Mitchell, CAIA is a Wealth Manager at BNY Mellon Wealth Management. He has spent the past 17 years developing and managing customized investment portfolios, as a fiduciary, to help his institutional, individual, non-profit and family office clients meet their financial goals. In addition, Ryan leverages the vast resources of his global firm and works in coordination with a client’s advisors, to design and implement optimal structures and strategies for estate and succession planning, tax minimization and charitable giving purposes. Ryan also has the ability to develop customized private banking strategies (investment credit lines, mortgages, life insurance premium financing, etc.) to help clients utilize both sides of their balance sheet. His practice at BNY Mellon primarily focuses on business owners, especially around pre and post liquidity event planning, where he works with them to maximize the value of their business at sale, then transition comfortably to their next phase and/or venture. Ryan holds a bachelor’s degree in Business Economics from the University of California at Santa Barbara. He is a Chartered Alternative Investment Analyst (CAIA) and is a member of the CAIA Association. Ryan serves as a Steering Committee member of the San Diego Aerospace and Defense Forum, is a member of the Association for Corporate Growth (ACG) Next Gen Leaders Group and volunteers at Awana Children’s Ministry. 

David Noosinow is a Senior Wealth Director at BNY Mellon Wealth Management.  David, in conjunction with BNY Mellon’s Portfolio Team and Wealth Strategists, works closely with successful entrepreneurs and wealthy families through the transfer of ownership of their privately held companies.  With significant experience in transferring wealth, investment planning, mergers and acquisitions, and exit strategies, David’s unique and valuable perspective helps owners navigate alternatives while avoiding potential landmines. This is accomplished by facilitating a team of advisors that specialize in maximizing enterprise value, personal and financial planning, tax mitigation to maximize net proceeds and making sure the owners and their families are prepared for the next chapter of their life. Prior to joining the firm David was a Vice President at Bernstein Global Wealth Management, where he was able to establish himself as a trusted advisor in the previously untapped markets of Atlanta, GA, and Lexington and Louisville, KY. He was a frequent speaker at events sponsored by the Blue Grass Estate Planning Council, the Estate Planning Council of Louisville, and the Louisville Bar Probate and Estate Section.

Allen Walburn is a tax partner in the San Diego office of Allen Matkins. He has extensive experience in a broad range of taxation matters, including corporate and partnership taxation, formation and operation of hedge funds, private equity funds and real estate funds, executive compensation, equity-based compensation, inbound and outbound U.S. international tax planning, tax issues relating to bankruptcies and debt workouts, entertainment industry tax issues, real estate taxation, 1031 exchanges, REITs, and property tax. Allen has played a critical role in structuring numerous corporate, partnership and real estate transactions, including formations of entities, mergers and acquisitions, restructurings, venture capital investments and other related matters. Allen has also held a license (inactive) as a Certified Public Accountant in California since 1985.
