In order to successfully navigate an M&A transaction in this evolving economic environment, it is critical that buyers and sellers understand what will be required to be successful in their strategic transaction efforts.

About the Presenters 

Clark Libenson is a corporate partner in the San Diego office of Allen Matkins where his practice focuses on corporate finance and business transactions, including public offerings and private placements of equity and debt, real estate securities, corporate reorganizations, mergers and acquisitions, employee equity and compensation arrangements, corporate governance, and board advisory matters. He also provides counsel to clients on financial services and general commercial matters, including commercial lending and secured real property transactions. Clark represents real estate enterprises, financial institutions, manufacturers, mining ventures and technology companies, among others. 

Allen Walburn is a tax partner in the San Diego office of Allen Matkins. He has extensive experience in a broad range of taxation matters, including corporate and partnership taxation, formation and operation of hedge funds, private equity funds and real estate funds, executive compensation, equity-based compensation, inbound and outbound U.S. international tax planning, tax issues relating to bankruptcies and debt workouts, entertainment industry tax issues, real estate taxation, 1031 exchanges, REITs, and property tax. Allen has played a critical role in structuring numerous corporate, partnership and real estate transactions, including formations of entities, mergers and acquisitions, restructurings, venture capital investments and other related matters. Allen has also held a license (inactive) as a Certified Public Accountant in California since 1985.

Allan Siposs is Managing Partner and founder of Keystone Capital Markets, Inc. His firm represents business owners in the sale of their companies, and provides services relative to value enhancement, mergers, acquisitions and divestitures of middle-market enterprises. For over two decades, Mr. Siposs has assisted hundreds of business owners by planning and directing the preparation and sale of their companies.

Mr. Siposs specializes in the sale of private companies, with an emphasis on the development and implementation of strategies designed to improve company value and optimize positioning, with the objective of rapidly achieving client objectives and maximizing shareholder value. His efforts on behalf of business owners and investors have resulted in increased shareholder net worth totaling hundreds of millions of dollars.  During his many years of investment banking experience, Mr. Siposs has executed transactions across a broad range of industries, including consumer products, apparel, footwear, food and beverage, manufacturing, distribution, online commerce and professional services.

Stuart Moss is Director at Keystone Capital Markets, Inc. He has over 25 years of experience in all aspects of M&A, as well as hands-on experience in business operations. This combination provides him with a unique perspective and ability to understand the needs of business owners, objectively analyze their options, and creatively design strategies to optimize transaction value by considering the perspectives of potential investors.

Mr. Moss has held executive positions involving finance, corporate development, M&A, business development, and general management.  As owner and/or operator of various mid-sized businesses, he developed and executed very successful growth and turnaround strategies.  During his career, he has also led numerous successful acquisitions and divestitures, and managed the integration of acquired companies.  Mr. Moss has worked with a broad range of mid-sized companies and large multi-nationals in a variety of industries.
